1、合約審閱與談判 (Contract Review & Negotiation): 負責審閱、草擬及談判各類商業合約,包括但不限於銷售、採購、合作、授權、服務協議等,確保合約條款符合美國當地法律法規及集團政策,並最大程度保障集團利益。
Responsible for reviewing, drafting, and negotiating various commercial contracts, including but not limited to sales, procurement, partnership, licensing, and service agreements. Ensure contract terms comply with local US laws and regulations and group policies, while maximizing the group‘s interests.
2、法律意見提供 (Legal Opinion Provision): 針對集團在美國地區的營運、新產品開發、商業交易、勞資關係等各項業務活動,提供專業、及時且具實用性的法律意見與解決方案。
Provide professional, timely, and practical legal opinions and solutions for the group‘s operations, new product development, commercial transactions, labor relations, and other business activities in the US region.
3、法規遵循與風險管理 (Regulatory Compliance & Risk Management): 密切關注美國聯邦及各州法律法規的變化,識別潛在的法律風險,並制定相應的內部規範與應對策略,確保集團業務活動符合法規要求。
Closely monitor changes in US federal and state laws and regulations, identify potential legal risks, and develop corresponding internal norms and response strategies to ensure the group‘s business activities comply with regulatory requirements.
4、訴訟與爭議解決 (Litigation & Dispute Resolution): 協調並管理美國地區的訴訟案件及其他法律爭議,包括委託外部律師、評估案件風險、制定訴訟策略等。
Coordinate and manage litigation cases and other legal disputes in the US region, including engaging external counsel, assessing case risks, and formulating litigation strategies.
5、團隊管理與發展 (Team Management & Development): 領導並指導法務團隊成員,進行日常工作分配、績效管理及專業培訓,提升團隊整體效能與專業水準(需具備至少3-4年團隊管理經驗)。
Lead and guide legal team members, overseeing daily work assignments, performance management, and professional training to enhance overall team efficiency and professionalism (requires at least 3-4 years of team management experience).
6、跨部門協作 (Cross-Departmental Collaboration): 與集團內部各事業單位、部門(如業務、財務、人資、研發等)及高階主管保持密切溝通與合作,提供法律支持,協助業務目標達成。
Maintain close communication and collaboration with various business units, departments (e.g., business development, finance, human resources, R&D), and senior executives within the group to provide legal support and help achieve business objectives.
7、內部培訓 (Internal Training): 定期針對集團內部員工進行法律知識及法規遵循的培訓,提升整體法律風險意識。
Regularly conduct legal knowledge and compliance training for internal staff to enhance overall legal risk awareness.
